Acceptance of Terms

By accessing or using the XcapeSuite platform, including RenounceRight, XcapeNetWorth, XcapeValuate, and XcapeAdvisor (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you and XcapeSuite ("we," "our," or "us").

Description of Services

XcapeSuite provides a suite of software tools designed to assist individuals and professionals with US expatriation tax compliance. Our Services include:

• RenounceRight: citizenship renunciation planning and timeline tracking.
• XcapeNetWorth: net worth calculation for Form 8854 covered expatriate determination.
• XcapeValuate: asset valuation tools for IRS compliance.
• XcapeAdvisor: a professional portal enabling tax advisors and CPAs to manage client cases and review filings.

User Accounts

To access certain features of the Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password secure and confidential. You are responsible for all activity that occurs under your account.
• Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

Payments and Subscriptions

Certain Services require a paid subscription. By subscribing, you agree to the following:

• Subscriptions are billed monthly at the rates displayed at the time of purchase.
• Your subscription will automatically renew each billing period unless you cancel before the renewal date.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; no partial refunds are provided.
• We reserve the right to change pricing with 30 days' advance notice. Continued use after a price change constitutes acceptance.
• All payments are processed through secure third-party payment processors. We do not store your full payment credentials.

Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, and design, are the exclusive property of XcapeSuite and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any data you enter into the Services. By using the Services, you grant us a limited license to process, store, and display your data solely for the purpose of providing the Services to you.

Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to any part of the Services, other user accounts, or our systems.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Use automated tools, bots, or scrapers to access or collect data from the Services without our written consent.
• Misrepresent your identity or professional credentials, particularly when using XcapeAdvisor.

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

Limitation of Liability

To the maximum extent permitted by applicable law, XcapeSuite and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Services.

Our total liability for any claims arising under these Terms shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless XcapeSuite and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of another party.

Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Services will immediately cease.
• You may request an export of your data within 30 days of termination.
• Provisions of these Terms that by their nature should survive termination will remain in effect, including intellectual property, disclaimers, limitation of liability, and indemnification.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts.

Changes to These Terms

We may revise these Terms at any time by posting the updated version on this page. Material changes will be communicated via email or a notice within the Services. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.
